Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the ClearPolicy platform and website at www.clearpolicy.ai (together, the “Platform”), which are operated by Fintek Pty Ltd (ABN 67 618 866 014) (“ClearPolicy”, “we”, “us” or “our”). By accessing or using the Platform you agree to be bound by these Terms.

    Services Provided

    We provide SaaS products and related services, including but not limited to online forms, automated document workflows, eSignature functionality, and marketing automation tools. We reserve the right, at our discretion, to update, modify, or discontinue features of the Platform from time to time.

    Registration and Accounts

    To access certain features you must register for an account. You must provide accurate, current and complete information and keep your login credentials secure. You are responsible for all activity that occurs under your account. By creating an account you confirm that you (a) are at least 18 years old, (b) have legal capacity to enter into a binding contract, and (c) are authorised to represent the business or organisation on whose behalf you are using the Platform. We may suspend or terminate accounts where details are false, incomplete or no longer current.

    Collection Notice and Privacy

    We collect and process personal information to provide and improve our services, in line with our Privacy Policy. To deliver the Platform we share information with third-party service providers, including cloud infrastructure providers, communications providers, AI and machine-learning providers, identity verification providers, payment providers, and analytics providers. These providers may process data in Australia or overseas.

    Acceptable Use

    When using the Platform you agree not to: engage in unlawful activity; infringe another person’s privacy or other legal rights; harass, threaten or abuse any person; upload viruses, malware or other harmful code; or transmit unauthorised or offensive material (for example, defamatory, obscene, racist or threatening content).

    Electronic Signatures

    The Platform supports electronic signatures. Documents signed electronically through the Platform have the same legal effect as documents signed by hand under the Electronic Transactions Act 1999 (Cth). You are responsible for confirming that electronic signatures are an acceptable form of execution for the documents and counterparties involved. ClearPolicy is not liable for any failure of an electronically signed document to be recognised by third parties.

    Linked Websites

    The Platform may contain links to third-party websites or services. We do not endorse, control or assume responsibility for the content, products or services of any linked website.

    Intellectual Property

    All intellectual property rights (including copyright, designs, patents, trade marks and software) in the Platform and the Website are owned by or licensed to us. You receive a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for your internal business purposes only, in accordance with these Terms.

    Warranties and Disclaimers

    The Platform is provided “as is” and “as available”. We do not warrant that access will be uninterrupted, secure or error-free, or that the Platform or any information made available through it will be accurate, current or complete. We accept no responsibility for any viruses, malware or other harmful code that may affect your systems. To the extent permitted by law, any warranties or conditions implied by law that cannot be excluded are limited, at our option, to the re-supply of the relevant services or the cost of having them re-supplied.

    Limitation of Liability

    To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, data, goodwill or business interruption, arising out of or in connection with your use of the Platform. Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Platform is limited to the fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

    Indemnity

    You indemnify Fintek Pty Ltd, its directors, employees and contractors against any loss, damage, cost or expense (including legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Platform; or (c) any infringement of intellectual property or other rights of a third party caused by you.

    Service Availability and Suspension

    We strive to maintain reliable and secure services but do not guarantee uninterrupted availability. We may suspend or restrict access to all or part of the Platform at any time, including for scheduled or emergency maintenance, suspected breach of these Terms, or where we reasonably consider there is a security or compliance risk.

    Changes to Terms

    We may amend these Terms from time to time by publishing the updated version on the Website. Your continued use of the Platform after an update takes effect constitutes your acceptance of the revised Terms.

    Governing Law and Jurisdiction

    These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.
